End User License Agreement (EULA)

1. Acceptance of terms

This End User License Agreement ("EULA") is a legal contract between you (an individual or a legal entity) and Manda4 Tecnologia Ltda. ("Manda4", "we" or "our") for the use of the MandaMail software, including all of its components, configuration panels, documentation and related services (collectively, the "Software").

By installing, accessing or using MandaMail, you agree to be bound by the terms of this EULA. If you do not agree with these terms, do not install, access or use the Software.

2. What the Software does

The features covered by this EULA are:

• Connection to any IMAP account, including Gmail, Outlook, Titan and custom domains
• Creation of a deal, a contact and a timeline activity from each new email, with the message attachments
• Recording of the full message body in the CRM activity, with inline images preserved
• Deduplication, so the same email never creates duplicate deals
• Automatic contact detection, finding an existing contact or creating a new one
• Mapping of pipeline, stage, assigned user and deal fields
• Email filters, to ignore newsletters, noreply senders and spam
• Real-time monitoring over IMAP IDLE or interval checking (polling), running continuously in the background
• Up to 50 mailboxes per Bitrix24 portal
• Processing logs, with the option to reprocess failed messages

The Software requires no programming and no servers of your own for the integration.

3. License grant

3.1 Limited license

Subject to the terms of this EULA, Manda4 grants you a non-exclusive, non-transferable, revocable and limited license to use MandaMail in accordance with your agreed subscription and within the authorized Bitrix24 portal.

3.2 Use restrictions

You agree NOT to:

• Copy, modify, adapt or create derivative works from the Software
• Reverse engineer, decompile or disassemble the Software
• Remove, alter or obscure copyright or proprietary notices
• Sublicense, resell, rent or lend the Software to third parties
• Circumvent the mailbox, check frequency or volume limits defined in your subscription
• Use the Software for illegal, fraudulent or unauthorized purposes
• Violate Bitrix24 rules or the terms of the email provider you connect to the Software

4. Mailbox access and credentials

4.1 Credentials provided by you

The Software accesses the mailbox exclusively with the IMAP credentials you enter in the configuration. Manda4 does not obtain access to your mailbox by any other means and does not change the permissions of the connected account.

4.2 Authorization statement

By connecting a mailbox, you declare that you own it or that you have the owner's authorization to monitor incoming messages and record them in your CRM. MandaMail is designed for shared business mailboxes such as contact@, sales@, info@ and support@. Responsibility for that authorization is exclusively yours.

4.3 App password and dedicated account

We recommend using an app password, where your provider offers one, or an account dedicated to the integration, instead of a person's own password. That narrows the impact of any incident and makes revoking access simpler.

4.4 Revoking access

You can stop the Software from accessing the mailbox at any time by removing the connection in the MandaMail configuration, changing the account password or revoking the app password at your email provider. Keeping credentials current and revoking them when needed is your responsibility.

5. Email content as third-party personal data

5.1 Processing roles

Regarding the data contained in received messages, you act as controller and Manda4 acts as processor, handling the data according to the configuration you define in the Software.

5.2 Legal basis and communication with data subjects

Defining the legal basis for processing the content of received emails, informing data subjects about that processing and answering their requests is your responsibility as controller. Manda4 supports you in fulfilling those requests, to the extent of the processing it performs.

5.3 Scope of processing

Processing performed by the Software is limited to:

• Reading messages from the mailbox you authorized
• Extracting sender, subject, message body, inline images and attachments
• Writing that data as a deal, a contact and an activity in your own Bitrix24 portal

6. Filters and unwanted content

The Software lets you configure filters to ignore messages that should not create records, such as newsletters, noreply senders and spam. Filtered messages do not create a deal, a contact or an activity in the CRM.

Filter configuration is yours. Manda4 is not responsible for a relevant message that was not recorded because of a filter you configured, nor for an unwanted message that created a record because no filter matched it.

7. Limits and no delivery guarantee

7.1 Third-party dependency

The Software depends on the email server you connect and on the Bitrix24 API. Downtime, policy changes, API changes, authentication blocks, simultaneous connection limits or account suspension imposed by those third parties affect the integration and are outside Manda4's control.

7.2 No guarantee that a record is created

Manda4 does not guarantee that every single email received will result in a deal created in the CRM. Connection failures, malformed messages, provider downtime, API limits or a filter you configured may prevent the record from being created. The Software keeps processing logs and allows failed messages to be reprocessed.

7.3 Not a backup, not a legal archive

The Software copies message content into your CRM as operational support for your team. It is not a mailbox backup solution, it does not guarantee evidentiary integrity of a message and it does not replace legal archiving of communications. If you need retention with evidentiary value, use a solution built for that.

8. Acceptable use

You agree not to use the Software to:

• Monitor a third party's mailbox without the owner's authorization, including an employee's personal mailbox
• Intercept, divert or surveil someone else's communication
• Harvest email addresses or contact data to send unsolicited bulk messages
• Generate automated request volume disproportionate to your operation, including load testing without prior notice
• Share Software access credentials with unauthorized third parties
• Violate applicable law, including rules on confidentiality of communications

If usage compromises service stability, Manda4 may apply temporary rate limiting, giving you notice and indicating the adjustment needed before taking any stricter measure.

9. Intellectual property

MandaMail and all related intellectual property rights are and shall remain the exclusive property of Manda4. This EULA does not transfer any ownership rights in the Software to you. The content of your emails and the records created in your CRM remain yours.

10. Data and privacy

10.1 Data collection

MandaMail collects and processes data as described in the Privacy Policy. You are responsible for ensuring you have a lawful basis to process the data the Software reads in the connected mailbox and writes into your Bitrix24.

10.2 LGPD and GDPR compliance

Both parties agree to comply with the Brazilian General Data Protection Law (LGPD, Law 13.709/2018) and other applicable data protection laws, including the GDPR where applicable. Under this EULA, you act as controller and Manda4 acts as processor, handling data according to your instructions.

11. Subscription and payment

11.1 Subscription

Access to MandaMail requires an active subscription. Scope, the number of enabled mailboxes and commercial terms are those defined in the proposal or contract you accepted.

11.2 Renewal and cancellation

The subscription renews as agreed in your contract. You may cancel at any time, effective at the end of the current billing period. After cancellation the Software stops monitoring the connected mailboxes and the records already created remain in your Bitrix24 portal.

12. Warranties and disclaimers

12.1 Limited warranty

Manda4 warrants that MandaMail will operate substantially as described in the official documentation for the duration of your subscription. This warranty does not extend to factors outside the Software, addressed in section 7.

12.2 Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THIS EULA, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE.

13. Limitation of liability

UNDER NO CIRCUMSTANCES SHALL MANDA4 BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your access to or use of, or inability to access or use, the Software
• An email that did not create a deal in the CRM due to email provider or Bitrix24 downtime, or due to a filter you configured
• A business opportunity lost because a message was not processed or was delayed
• Connecting a mailbox without the authorization required in section 4
• Unauthorized access to, use of or alteration of your transmissions or content

14. Bitrix24 and email providers

MandaMail operates inside Bitrix24 and connects to third-party email servers. You agree to comply with the Bitrix24 terms of use and with the rules of the email provider you connect, including any connection limits and authentication requirements.

When an external change affects the Software, we will work to adapt it, without a guaranteed timeframe, since the change is outside our control.

15. Support and maintenance

Manda4 will provide technical support and updates as agreed in your subscription. Support is available through the channels listed on the MandaMail contact page.

16. Termination

16.1 Termination by you

You may terminate this EULA at any time by cancelling your subscription, removing the connected mailboxes, uninstalling the application from your Bitrix24 portal and ceasing all use of the Software.

16.2 Termination by Manda4

Manda4 may terminate this EULA if you breach any term of this agreement. Except in cases of serious breach, illegal use, unauthorized monitoring of a third party's mailbox or risk to service security, termination will be preceded by notice with a reasonable cure period.

17. Modifications

Manda4 reserves the right to modify this EULA. We will notify you of material changes by email or within the Software. Your continued use after such modifications constitutes acceptance of the revised terms.

18. Governing law and jurisdiction

This EULA is governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any dispute arising from this EULA shall be submitted to the courts of São Paulo, SP. In the event of any discrepancy between this English version and the Portuguese version, the Portuguese version prevails.

19. General provisions

19.1 Entire agreement

This EULA constitutes the entire agreement between you and Manda4 regarding the use of MandaMail.

19.2 Severability

If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 Waiver

Manda4's failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.
