End User License Agreement (EULA)

1. Acceptance of terms

This End User License Agreement ("EULA") is a legal contract between you (an individual or a legal entity) and Manda4 Tecnologia Ltda. ("Manda4", "we" or "our") for the use of the Manda4 Jarvis IA software, including all of its components, agents, bots, documentation and related services (collectively, the "Software").

By installing, accessing or using Manda4 Jarvis IA, you agree to be bound by the terms of this EULA. If you do not agree with these terms, do not install, access or use the Software.

2. License grant

2.1 Limited license

Subject to the terms of this EULA, Manda4 grants you a non-exclusive, non-transferable, revocable and limited license to use Manda4 Jarvis IA in accordance with your subscription plan and within the authorized Bitrix24 portal.

2.2 Use restrictions

You agree NOT to:

• Copy, modify, adapt or create derivative works from the Software
• Reverse engineer, decompile or disassemble the Software
• Extract, replicate or attempt to reconstruct the Software's AI models, weights, internal prompts or architecture
• Remove, alter or obscure copyright or proprietary notices
• Sublicense, resell, rent or lend the Software to third parties
• Use the outputs generated by the Software to train, fine-tune or benchmark competing artificial intelligence models
• Use the Software for illegal, fraudulent or unauthorized purposes
• Violate Bitrix24 rules or the policies of any messaging channel you connect to the Software

3. Intellectual property

Manda4 Jarvis IA, its artificial intelligence models and all related intellectual property rights are and shall remain the exclusive property of Manda4. This EULA does not transfer any ownership rights in the Software to you. The content you input into the Software remains yours.

4. Nature of artificial intelligence

4.1 Automatically generated responses

The Software produces text using artificial intelligence models. This technology is probabilistic by nature: responses may contain inaccuracies, be incomplete or fail to match user intent even when the Software is correctly configured. Manda4 does not warrant the accuracy, completeness or suitability of any generated response.

4.2 Responsibility for configuration and supervision

You are responsible for defining the scope of your bots and agents, for the instructions you give them and for the actions you authorize them to perform in your CRM. We recommend keeping human supervision over any flow involving pricing, deadlines, contractual terms, technical guidance or any decision that materially affects the end customer, and configuring handover to a human agent when the subject requires it.

4.3 Not professional advice

Responses generated by the Software do not constitute legal, medical, accounting, financial or any other advice requiring professional licensing. If your use case involves such matters, it is your responsibility to implement the safeguards and approvals required by applicable regulation.

4.4 Voice transcription

The Software may transcribe and interpret voice messages sent by your customers. Automatic transcription is subject to error, particularly with background noise, strong accents or technical terminology. You are responsible for informing your customers about this processing where applicable law requires it.

4.5 Use of data for training

Manda4 does not use the content of your conversations or your CRM data to train third-party artificial intelligence models. Any use of data to improve our own models occurs only in aggregated and anonymized form, or with your specific authorization, as detailed in the Privacy Policy.

5. Data and privacy

5.1 Data collection

Manda4 Jarvis IA collects and processes data as described in our Privacy Policy. You are responsible for ensuring you have a lawful basis to process the data you input into the Software or that you allow the Software to access in your Bitrix24.

5.2 Data protection compliance

Both parties agree to comply with the Brazilian General Data Protection Law (LGPD, Law 13.709/2018) and other applicable data protection laws. Under this EULA, you act as controller of your customers' data and Manda4 acts as processor, handling data according to your instructions.

6. Subscription and payment

6.1 Subscription plans

Access to Manda4 Jarvis IA requires an active subscription. Available plans, prices and included features are those published on our website or in the commercial proposal you accepted.

6.2 How the AI is charged

The artificial intelligence used by Manda4 Jarvis IA is provided by Manda4 and included in your plan, with a monthly token allowance defined per plan. You do not need a separate AI provider subscription and you are not charged a variable amount for consumption. Usage above the allowance is handled as a plan change, communicated in advance. Other usage limits are described in section 7.

6.3 Auto-renewal

Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

7. Acceptable use and limits

The Software is intended for the regular operation of your business. To keep the service stable for all customers, you agree not to:

• Generate automated request volume disproportionate to your operation, including load testing without prior notice
• Use the Software to send unsolicited bulk messages or engage in any practice characterized as spam
• Use the Software to generate illegal, defamatory or discriminatory content, or content that infringes third-party rights
• Make the Software impersonate a human being where applicable law requires disclosure of automated service
• Share access credentials with unauthorized third parties

If usage compromises service stability, Manda4 may apply temporary rate limiting, giving you notice and indicating the adjustment needed before taking any stricter measure.

8. Warranties and disclaimers

8.1 Limited warranty

Manda4 warrants that Manda4 Jarvis IA will operate substantially as described in the official documentation for a period of 30 days from the activation date. This warranty does not extend to the accuracy of content generated by artificial intelligence, which is addressed in section 4.

8.2 Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THIS EULA, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of liability

UNDER NO CIRCUMSTANCES SHALL MANDA4 BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• Your access to or use of, or inability to access or use, the Software
• A business decision made by you or your customer based on a response generated by artificial intelligence
• An action performed by a bot or agent according to the configuration you defined
• Any third-party conduct or content within the Software
• Unauthorized access to, use of or alteration of your transmissions or content

10. Bitrix24 and third-party channels

Manda4 Jarvis IA operates inside Bitrix24 and may be connected to third-party messaging channels. You agree to comply with the Bitrix24 terms of use and with the policies of each channel you connect to the Software.

Manda4 is not liable for downtime, policy changes, API changes or account suspension imposed by those third parties. When an external change affects the Software, we will work to adapt it, without a guaranteed timeframe, since the change is outside our control.

11. Support and maintenance

Manda4 will provide technical support and software updates as described in your subscription plan. Support is available through the channels listed on the Manda4 Jarvis IA contact page.

12. Termination

12.1 Termination by you

You may terminate this EULA at any time by cancelling your subscription, uninstalling the application from your Bitrix24 portal and ceasing all use of the Software.

12.2 Termination by Manda4

Manda4 may terminate this EULA if you breach any term of this agreement. Except in cases of serious breach, illegal use or risk to service security, termination will be preceded by notice with a reasonable cure period. Upon termination you must cease all use of the Software.

13. Modifications

Manda4 reserves the right to modify this EULA. We will notify you of material changes by email or within the Software. Your continued use after such modifications constitutes acceptance of the revised terms.

14. Governing law and jurisdiction

This EULA is governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any dispute arising from this EULA shall be submitted to the courts of São Paulo, SP. In the event of any discrepancy between this English version and the Portuguese version, the Portuguese version prevails.

15. General provisions

15.1 Entire agreement

This EULA constitutes the entire agreement between you and Manda4 regarding the use of Manda4 Jarvis IA.

15.2 Severability

If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Manda4's failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.
