End-User License Agreement (EULA)

1. Acceptance of Terms

This End-User License Agreement ("EULA") is a legal contract between you (individual or legal entity) and Manda4 Tecnologia Ltda. ("Manda4", "we" or "our") for the use of MandaZap software, including all components, documentation and related services (collectively, the "Software").

By installing, accessing or using MandaZap, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install, access or use the Software.

2. License Grant

2.1 Limited License

Subject to the terms of this EULA, Manda4 grants you a non-exclusive, non-transferable, revocable and limited license to use MandaZap in accordance with your contracted subscription plan.

2.2 Usage Restrictions

You agree NOT to:

• Copy, modify, adapt or create derivative works of the Software
• Reverse engineer, decompile or disassemble the Software
• Remove, alter or obscure copyright or proprietary notices
• Sublicense, sell, rent or lend the Software to third parties
• Use the Software for illegal or unauthorized purposes
• Violate WhatsApp Business API or Meta policies

3. Intellectual Property

MandaZap and all related intellectual property rights are and shall remain the exclusive property of Manda4. This EULA does not transfer to you any ownership rights over the Software.

4. Data and Privacy

4.1 Data Collection

MandaZap collects and processes data as described in our Privacy Policy. You are responsible for ensuring you have the legal right to process the data you enter into the Software.

4.2 GDPR/LGPD Compliance

Both parties agree to comply with the General Data Protection Law (LGPD) and other applicable data protection laws.

5. Subscription and Payment

5.1 Subscription Plans

Access to MandaZap requires an active subscription. Available plans, pricing and features are described on our website.

5.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period, unless you cancel before the renewal date.

5.3 Cancellation

You may cancel your subscription at any time through the control panel. Cancellation will take effect at the end of the current billing period.

6. Warranties and Disclaimers

6.1 Limited Warranty

Manda4 warrants that MandaZap will function substantially as described in the official documentation for a period of 30 days from the activation date.

6.2 Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN THIS EULA, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

7. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL MANDA4 BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Software
• Any conduct or content of third parties on the Software
• Unauthorized access, use or alteration of your transmissions or content

8. WhatsApp Business API Compliance

You agree to comply with all policies, guidelines and terms of service of WhatsApp Business API and Meta. Violation of these policies may result in suspension or termination of your account.

9. Support and Maintenance

Manda4 will provide technical support and software updates as described in your subscription plan. Support is available through the channels specified on our website.

10. Termination

10.1 Termination by You

You may terminate this EULA at any time by canceling your subscription and ceasing all use of the Software.

10.2 Termination by Manda4

Manda4 may terminate this EULA immediately if you violate any term of this agreement. Upon termination, you must cease all use of the Software and destroy all copies.

11. Modifications

Manda4 reserves the right to modify this EULA at any time. We will notify you of material changes by email or through the Software. Your continued use after such modifications constitutes acceptance of the revised terms.

12. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any dispute arising from this EULA shall be submitted to the exclusive jurisdiction of the courts of São Paulo, SP.

13. General Provisions

13.1 Entire Agreement

This EULA constitutes the entire agreement between you and Manda4 regarding the use of MandaZap.

13.2 Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Manda4's failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
