End User License Agreement (EULA)

1. Acceptance of Terms

This End User License Agreement ("EULA") is a legal contract between you (individual or legal entity) and Manda4 Tecnologia Ltda. ("Manda4", "we" or "our") for the use of the MandaDatabase software, including all components, documentation and related services (collectively, the "Software").

By installing, accessing or using MandaDatabase, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install, access or use the Software.

2. Software Description

MandaDatabase is a data integration solution that automatically extracts information from Bitrix24 (Leads, Deals, Contacts, Companies and Tasks) and makes it available in a structured database, ready for connection with Business Intelligence tools such as Power BI, Looker Studio, Tableau, Metabase, Qlik, Grafana and others.

3. License Grant

3.1 Limited License

Subject to the terms of this EULA, Manda4 grants you a non-exclusive, non-transferable, revocable and limited license to use MandaDatabase in accordance with your contracted subscription plan.

3.2 Usage Restrictions

You agree NOT to:

• Copy, modify, adapt or create derivative works of the Software
• Reverse engineer, decompile or disassemble the Software
• Remove, alter or obscure copyright or proprietary notices
• Sublicense, sell, rent or lend the Software to third parties
• Use the Software for illegal or unauthorized purposes
• Redistribute or share database access credentials
• Violate Bitrix24 platform policies

4. Intellectual Property

MandaDatabase and all related intellectual property rights are and shall remain the exclusive property of Manda4. This EULA does not transfer to you any ownership rights in the Software.

5. Data and Privacy

5.1 Data Collection

MandaDatabase collects and processes data as described in our Privacy Policy. Data extracted from Bitrix24 is stored in a dedicated database for each client, with access restricted to the provided credentials.

5.2 GDPR/LGPD Compliance

Both parties agree to comply with the General Data Protection Regulation (GDPR) and Brazil's General Data Protection Law (LGPD) and other applicable data protection laws.

6. Subscription and Payment

6.1 Subscription Plans

Access to MandaDatabase requires an active subscription. Available plans, pricing and features are described within the application after installation.

6.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period, unless you cancel before the renewal date.

6.3 Cancellation

You may cancel your subscription at any time. After cancellation, database access will be terminated at the end of the current billing period.

7. Warranties and Disclaimers

7.1 Limited Warranty

Manda4 warrants that MandaDatabase will function substantially as described in the official documentation for a period of 30 days from the activation date.

7.2 Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN THIS EULA, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL MANDA4 BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Software
• Any conduct or content of third parties on the Software
• Unauthorized access, use or alteration of your transmissions or content
• Temporary database unavailability or synchronization delays

9. Bitrix24 Compliance

You agree to comply with all policies, guidelines and terms of service of the Bitrix24 platform. Violation of these policies may result in suspension or termination of your account.

10. Support and Maintenance

Manda4 will provide technical support and software updates as described in your subscription plan. Support is available through the channels specified on our website.

11. Termination

11.1 Termination by You

You may terminate this EULA at any time by canceling your subscription and ceasing all use of the Software.

11.2 Termination by Manda4

Manda4 may terminate this EULA immediately if you violate any term of this agreement. Upon termination, database access will be revoked and data may be deleted after 30 days.

12. Modifications

Manda4 reserves the right to modify this EULA at any time. We will notify you of material changes by email or through the Software. Your continued use after such modifications constitutes acceptance of the revised terms.

13. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any dispute arising from this EULA shall be submitted to the exclusive jurisdiction of the courts of São Paulo, SP.
